Conditions of Sale - Version 2.1 Date Released: 03/03/2007 12:00pm (AEST) Definitions: Word Meaning Contract Legally binding agreement, Agreement Provider First Class Shopping and Partners and Subsidiaries and Authorised Representatives Seller First Class Shopping and Partners and Subsidiaries and Authorised Representatives Consumer Purchaser, Buyer, Authorised Representative Goods Consideration, Product, Service Online Electronic data exchange between computers Section 1 - About 1) This Condition of Sale is presented as paragraphs of numbered clauses and each numbered item is to be considered a clause. A clause has the same meaning as a condition or term, and for the purposes of this agreement means an obligation on the part of the parties to the agreement to abide by and/or carry out and/or not carry out an action as provided by that clause. 1.1) All clauses of this agreement together form the whole of the agreement. Where any clause or part of a clause is invalid, only that clause or the part of the clause that is invalid is to be disregarded. All other clauses of the agreement remain a legally binding agreement. 1.2) These conditions of sale represent a legally binding agreement between the provider and the consumer. 1.3) These Conditions of Sale may change from time to time. It is the responsibility of the consumer to ensure that they are viewing the most up to date version of these Conditions of Sale. The correct and most up to date version of these Conditions of Sale are available at www.firstclassshopping.com.au/conditions.aspx or by contacting the provider directly. 1.4) Any variation of these conditions of sale for an individual order are only valid if provided in writing on the providers letterhead and signed by an authorised employee of the provider having the status of Manager, Executive, Chief Executive Officer, Chief Financial Officer, Director or Owner and stating in writing on that variation that they have direct written authority by the provider to vary these Conditions of Sale. Section 2 - Quotations 2) Any quotation provided by the purchaser is not to be construed as an offer or obligation to sell unless it is clearly stated in writing that the offer is valid for 30 days and the offer is made on the provider’s letterhead. 2.1) The maximum period of validity of a quotation is 30 days. 2.2) All quotations are subject to availability unless the quotation includes in writing on the provider's letterhead that the provider guarantees that there will be a particular amount of a particular item available to the consumer. 2.3) Any particular item that has been guaranteed to be available to a consumer is only guaranteed for the lesser of the period provided in the quote or 30 days. 2.4) A quotation may be withdrawn at any time by communication with the consumer including by written notice having being sent by postal service in which case, once the written notice has been provided to the postal service the communication is considered to be complete. Section 3 - Orders 3) Any order placed by the consumer incorporates these Conditions of Sale. Any conflicting information or inconsistency between these Conditions of Sale and those included in, or implied by or provided by any other document forming part of a sale or service or consumer inquiry, specification, purchase or order is in so much as that inconsistency exists void and invalid and these Condi
